NAVA HEALTH MD, INC. AND 99 ACQUISITION GROUP, INC. ANNOUNCE MERGER AGREEMENT FOR NAVA HEALTH TO BECOME A PUBLICLY TRADED ENTITY
Columbia, MD, February 12, 2024— Nava Health MD, Inc. (“Nava Health”), a vertically integrated, tech-enabled chain of healthcare centers that combines integrative, functional, preventive, and regenerative medicine, and 99 Acquisition Group, Inc. (Nasdaq: NNAG), a publicly traded special purpose acquisition company (“99 Acquisition”), today announced they have entered into a definitive merger agreement (the “Merger Agreement”). Upon closing the proposed transaction, 99 Acquisition will be renamed Nava Health MD, Inc. and expects to remain listed on the Nasdaq Stock Market.

3Ci (2002 – 2019) – Founder, CEO
- 3Ci was a marketing company that owned the brand and all intellectual capital of the largest brand in the debt relief industry.
- Successful exit in 2019.
CareOne Credit Services (2002 – 2014) – Founder, CEO
- CareOne was the nation’s first for-profit credit counseling agency and debt settlement provider and owned the nation’s largest portfolio of consumers on debt relief plans, with more debt under management than any other debt relief company.
- At the time of Bernie’s successful exit in 2014, CareOne was the most recognized brand in the debt relief industry.
Amerix Corporation (1998 – 2012) – Founder, CEO
- Developed the first 3rd party fully integrated platform for the non-profit credit counseling industry.
- Grew to become the premier servicer for 5 of the top 10 largest non-profit credit counseling agencies in the US.
- Successful exit in 2012.
Genus Credit Management (1992 – 1998) – Founder, CEO
- Genus was the first nation-wide non-profit credit counseling agency in the US.
- Grew into the largest non-profit credit counseling agency in history,
managing a portfolio of consumer debt over $4 billion.

Bernie Dancel, CEO
Zachary Dancel has served as our Chief Operating Officer since March 2022. Before becoming our Chief Operating Officer, Mr. Dancel occupied several critical operational leadership roles during his six years with Nava, including Director of Operations, Director of Product Development, and Operations Manager.
Mr. Dancel has led key strategic growth initiatives in his roles, including the build-out and opening of all 7 retail locations, the development of telemedicine capabilities, the conversion and rollout of our hybrid insurance model, and the development and rollout of all new products and services over the previous two years.
In addition, he has led significant growth in client appointments, up 100% and 160% in revenue in this period. Mr. Dancel is Bernaldo Dancel’s son.
Zach Dancel, COO
Hyun Soo Park has served as our Chief Information Officer since June 2022.
Hyun Soo Park is a seasoned technology executive with over 40 years of experience enabling business transformation through Information Technology. With a deep and diverse background spanning software development, network engineering, telecommunications, and data science, Hyun Soo has consistently delivered innovative solutions that drive operational efficiency and strategic growth.
Throughout his career, he has held key executive roles including:

Hyun Soo Park, CIO
Jodi Usher brings over 25 years of leadership experience in human resources, operations, and organizational growth to her role as Chief Human Resources Officer at Nava Health. A seasoned executive, Jodi has a proven record of building high-performance teams, designing strategic HR initiatives, and aligning people strategies with business growth.
Previously, Jodi served as Chief Operating Officer at Nava Health & Vitality Center, where she launched multiple integrative practices via a telemedicine platform across Maryland, DC, and Virginia. She oversaw day-to-day operations, including workforce management, human resources, and customer service, driving business performance beyond growth targets.
Her career also includes senior leadership roles at Ascend One and Amerix Corporation, where she scaled operations, overseeing hundreds of employees, led quality assurance and compliance programs, and pioneered process improvements—including the implementation of ISO 9001 QMS standards.
At Nava Health, Jodi leads all aspects of human resources, including talent acquisition, employee development, compensation and benefits, and HR operations. She is passionate about cultivating a workplace where employees thrive and about driving people-first strategies that fuel business success.
